When you make a purchase at Nothing.tech or through another designated retail channel and receive an offer code (“Offer”), you agree to be bound by these Nothing-Perplexity Offer Code Terms & Conditions (herein, “Terms”). Between Nothing Technology Limited (here, with its affiliates, “Nothing”) and you, the customer (herein, “you”, “your”, “yours”, or “customer” as the case may be), for good and valid consideration, the receipt and sufficiency of which you and Nothing both acknowledge, you and Nothing agree to the following Terms:

General Provisions

1. These Terms govern Nothing’s provision of Perplexity offer codes (herein, “Offer(s)”) in connection with purchases made at Nothing.tech and through other designated Nothing sales channels (herein, “Retail Channel(s)”).
2. Customers who purchase a Nothing Phone (2a) from Retail Channels between 05/03/2024 and 19/03/2024 will receive an Offer for redemption of a Perplexity Pro subscription for up to one (1) year (either 6 or 12-months).
3. The terms governing redemption of the Offer(s) are available HERE and shall be between you and Perplexity AI, Inc. (herein, with its affiliates, “Perplexity”). The Offer may be redeemed at https://www.perplexity.ai/.
4. You agree to follow Perplexity’s instructions regarding redemption of the Offer, and adhere to Perplexity’s Terms of Service in use of their product.
5. Nothing shall not be responsible for any issues arising from or relating to redemption of your offer.
6. Only one (1) Offer is available per individual customer with purchase. 
7. THE OFFER IS PROVIDED ON A FIRST-COME, FIRST-SERVE BASIS AND QUANTITIES ARE LIMITED. NOT ALL CUSTOMERS WILL RECEIVE AN OFFER AND THOSE RECEIVING AN OFFER MAY NOT RECEIVE AN OFFER FOR THEIR DESIRED SUBSCRIPTION DURATION.
8. Coupons received through company deals or specific promotions are intended for individual use and should not be shared. We reserve the right to deny usage of a coupon if it violates our Terms of Service.

Eligibility. 

1. The Offer is open only to customers who have purchased Nothing products from official channels in designated Nothing sales territories.
2. By entering the Offer, you represent and warrant that you are not subject to any blacklists or sanctions of relevant countries, including, without limitation, the United States, the United Kingdom, and the European Union and that you are in full compliance with applicable export control laws and regulations.
3. Due to legal restrictions, Nothing cannot provide Offers to individuals or entities from Sudan, North Korea, Syria, Iran, Cuba, the Crimea region, or any other countries/regions which may be subject to export controls or sanctions at the time of the Offer. 

Activation.

1. Your subscription can be activated once your order is shipped, from 12 March 2024.
2. You must activate your subscription by 30 April 2024.
3. An Offer code will be sent to the email attached to your Phone (2a) order made through the Retail Channel.
4. You can redeem your subscription by clicking on the link in your email.

General Liability Release. By entering this Offer, you release Nothing, its employees, agents, affiliates, and assigns from any liability whatsoever, on any theory, and waive any and all claims and causes of action arising from or related to this Offer, to the extent permitted by applicable law. Nothing in these Terms, however, limits or excludes any person’s or entity’s liability for death or personal injury caused by their negligence or any other liability which may not be limited as a matter of law.

Data. 

1. By making a purchase and providing the information to receive the Offer, you agree to Nothing, its affiliates, and partners processing your personal information for purposes of administering the Offer and providing any associated communications.
2. Nothing’s Privacy Policy will apply with respect to the Offer.
3. You consent to your Personal Data being transferred, stored (both electronically and manually) by Nothing to Nothing and its business partner(s) located outside of the European Economic Area or area of residence for the purposes of maintaining records of the Offer and developing Offer-related external marketing materials (“Materials”). You hereby agree that such usages shall constitute legitimate business needs for Nothing.
4. You further acknowledge and agree that your participation in the Offer may result in your name, social media handle and other personal data (“Personal Data”, as defined below) being announced publicly. You hereby waive any and all objections to such disclosures in the Materials.

1. For the purposes of these Terms, “Personal Data” may include, but is not limited to email address, name, order information, phone number and other relevant information. Nothing and its partners shall only retain your Personal Data only as long as it may be needed.
2. You acknowledge that collection and processing of the Personal Data listed in Section 5(d) for the uses described herein shall constitute a legitimate business need of Nothing.
3. Nothing undertakes to ensure that it and its partners will take appropriate measures to protect your Personal Data and use your Personal Data only for the purposes described in these Terms. Both Data Controller(s) and Data Processor(s) shall sign data processing agreements (DPAs) to meet the European Union’s requirements with respect to data processing.

Miscellaneous.

1. Void Where Prohibited. The Offer is void where prohibited:

If any provision or part-provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. 

If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of these Terms. 

To the extent permitted by applicable law, Nothing may suspend, modify or terminate the Offer if it believes, in its sole discretion, that malfunction, error, disruption or damage is impairing or will impair the administration, security, fairness, integrity or proper conduct of the Offer.

1. Sanctions/Export Control. Nothing’s products, including Phone 2(a), may be subject to US export control laws. You shall not, directly or indirectly, export, re-export, or release the products to, or make them accessible from, any jurisdiction or country to which export, re-export, or release is prohibited by applicable laws, rules, or regulations. You shall comply with all applicable federal laws, regulations, and rules, and complete all required undertakings.
2. Non-discrimination. This Offer is provided in accordance with all relevant equality and anti-discrimination law (whether in relation to race, sex, gender reassignment, age, disability, sexual orientation, religion or belief, pregnancy, maternity or otherwise).
3. Relationship Amongst the Parties. Notwithstanding anything to the contrary contained in these Terms, the relationship between you and Nothing is on a principal-to-principal basis and nothing in these Terms will be construed as creating a partnership, joint venture, association of persons, or employment/agency relationship between the Parties. You shall not have any right to obligate or bind Nothing, or vice versa, in any manner whatsoever. Nothing contained in this Agreement shall give any rights of any kind to any third parties, whatsoever.

6. That any disputes shall be governed by the laws of England and Wales (or by mandatory local laws, if applicable), without regard to conflict of law principles. The courts of London shall have exclusive jurisdiction. You consent and waive any objection to the jurisdiction of said tribunals for any such disputes. 
7. These Terms shall be written and construed in the English language. Any translation shall not be the official version and, in the event of any conflict, the English version shall control.
8. Nothing reserves the right of interpretation with respect to these Terms. Should there exist any conflict between these Terms and any other communication, including but not limited to the Website, communication, email, public statements by Nothing employees/agents, or any other form of communication, these Terms shall prevail.
